COFDAR PLATFORM TERMS OF USE AGREEMENT
Introduction
Welcome to Cofdar Platform (Cofdar.com), the specialized platform for wholesale coffee trade owned by “Madar Al-Tahawul,” registered with the Ministry of Commerce in the Kingdom of Saudi Arabia under Commercial Registration No.: [Registration Number]. This agreement aims to clarify the terms and conditions for using the Cofdar platform and regulate the relationship between all parties participating in the platform.
Your use of the Cofdar platform indicates your complete acceptance of all terms and conditions contained in this agreement. Therefore, we kindly request that you read this agreement carefully before using the platform.
Article 1: Definitions
1.1. Cofdar Platform: An electronic platform specialized in wholesale coffee trade, connecting coffee suppliers with roasters and cafes, and providing a secure environment for commercial transactions in the coffee sector.
1.2. Cofdar Direct: A direct purchasing service through the Cofdar platform, where the platform handles the coffee supply process directly, and assumes responsibility for shipping and guaranteeing product quality.
1.3. Open Market: An open trading platform within Cofdar that allows approved suppliers to showcase their coffee products, and for buyers to communicate with them and complete transactions directly.
1.4. Supplier: A natural or legal person who supplies coffee or related products through the Cofdar platform, whether as a producer or wholesale trader.
1.5. Buyer: A natural or legal person who purchases coffee wholesale through the Cofdar platform, typically a roastery, cafe, or wholesale trader.
1.6. Coffee Transaction: The process of selling and buying coffee or related products between the supplier and the buyer through the Cofdar platform.
1.7. Coffee Quality Standards: The specifications and standards adopted for classifying and evaluating the quality of coffee traded through the platform.
Article 2: Registration and Account Creation
2.1. Registration Requirements:
- The user must be a natural person at least 18 years of age, or a legally registered entity.
- The user must be licensed to practice coffee-related activities in accordance with local laws.
- Accurate and correct information must be provided during registration.
2.2. Required Documents:
- For suppliers: Commercial registration, business licenses, personal identification of the responsible person.
- For buyers: Commercial registration or cafe/roastery licenses, personal identification of the responsible person.
2.3. Account Security:
- The user bears full responsibility for maintaining the confidentiality of their account information.
- Any activity conducted through the account is the responsibility of the account owner, even in cases of unauthorized use.
- Cofdar must be notified immediately if any account breach is suspected.
Article 3: Services Provided
3.1. General Cofdar Services:
- Providing a secure electronic environment for wholesale coffee trading between suppliers and buyers.
- Providing authentication and verification services for suppliers and buyers.
- Providing a rating system for coffee quality and suppliers.
- Facilitating payment, shipping, and delivery processes.
3.2. Cofdar Direct Services:
- Direct coffee supply from Cofdar.
- Guaranteeing coffee quality according to announced standards.
- Managing shipping and delivery operations.
- Providing after-sales service.
3.3. Open Market Services:
- Connecting approved suppliers with potential buyers.
- Providing a platform for negotiation and transaction completion.
- Facilitating secure payment processes.
- Monitoring shipping and delivery operations.
Article 4: Rights and Obligations of Suppliers
4.1. Supplier Rights:
- Displaying coffee products on the platform according to specified conditions.
- Receiving payments at specified times.
- Benefiting from authentication and verification services.
- Receiving technical support from the Cofdar team.
4.2. Supplier Obligations:
- Providing accurate and correct information about the coffee products offered.
- Adhering to announced quality standards.
- Shipping orders within the specified timeframes (within 3 business days of order confirmation).
- Responding to buyer inquiries within 24 hours.
- Adhering to return and exchange policies.
Article 5: Rights and Obligations of Buyers
5.1. Buyer Rights:
- Obtaining accurate information about coffee products.
- Receiving products that match the announced specifications.
- Benefiting from return policies.
- Rating suppliers and products.
5.2. Buyer Obligations:
- Paying for purchases according to the agreed terms.
- Verifying coffee quality upon receipt.
- Reporting any product issues within the specified period.
- Adhering to terms of use and dealing in good faith.
Article 6: Commissions and Fees
6.1. Platform Commission:
- A commission of 6% is applied to each transaction completed in the Open Market.
- No commission is applied to sales in Cofdar Direct.
6.2. Transfer Fees:
- A transfer fee of 10 SAR is imposed on each profit withdrawal operation.
- A transfer fee of 10 SAR is imposed on each refund operation.
6.3. Payment and Settlement Mechanism:
- Purchase payments are made through approved payment methods on the platform.
- Supplier entitlements are transferred within 14 days from the date the buyer confirms receipt of the order.
- Users can withdraw funds from their wallet every 14 days or when the minimum withdrawal amount is available.
Article 7: Shipping and Delivery Policy
7.1. Shipping Policy in Cofdar Direct:
- Cofdar assumes responsibility for shipping and delivery.
- Shipping cost and duration are determined based on geographic location and order size.
- A tracking number is provided for the shipment.
7.2. Shipping Policy in the Open Market:
- The supplier assumes responsibility for shipping and delivery.
- The supplier commits to shipping the order within 3 business days from the date of order confirmation.
- The supplier commits to providing a tracking number for the shipment.
7.3. Packaging Requirements:
- Packaging must be done in a way that preserves quality during transport.
- Appropriate and recognized containers must be used.
- Clear labels showing product details must be placed.
Article 8: Return and Exchange Policy
8.1. Return Policy in Cofdar Direct:
- Products can be returned within 3 days from the date of receipt if they do not match the specifications.
- Cofdar bears the return costs if it is proven that the product does not match the specifications.
8.2. Return Policy in the Open Market:
- Products can be returned within 3 days from the date of receipt if they do not match the specifications.
- The supplier bears the return costs if it is proven that the product does not match the specifications.
8.3. Cases Where Returns Are Not Accepted:
- After the specified return period has expired.
- If the original packaging has been opened.
- If the product has been damaged due to poor storage and transport by the buyer.
Article 9: Secure Sales Policy
9.1. Identity Verification:
- Cofdar verifies the identity of suppliers and buyers before allowing them to transact on the platform.
- Users must verify the identity of the other party before completing transactions.
9.2. Quality Assurance:
- In Cofdar Direct, the platform guarantees coffee quality according to the announced specifications.
- In the Open Market, the platform provides a rating system for suppliers and products to assist buyers.
9.3. Payment Protection:
- Cofdar holds the paid amount until the buyer confirms receipt of the order.
- In case of dispute, the amount is frozen until the dispute is resolved.
Article 10: Authentication and Verification
10.1. Supplier Authentication:
- Suppliers are authenticated after verifying their identity and legal eligibility.
- Authentication requires submitting commercial registration and business licenses.
- Authenticated suppliers are granted a verification badge.
10.2. Buyer Authentication:
- Buyers are authenticated after verifying their identity and legal eligibility.
- Authentication requires submitting commercial registration or cafe/roastery licenses.
- Authenticated buyers are granted a verification badge.
10.3. Offer Verification:
- Suppliers can request offer verification from Cofdar.
- Verification is done after examining documents or samples and evaluating them according to approved standards.
- Verified offers are granted a verification badge.
Article 11: Legal Responsibility
11.1. Cofdar Platform Responsibility:
- Cofdar bears full responsibility for coffee quality and shipping operations in Cofdar Direct.
- Cofdar does not bear responsibility for coffee quality or shipping operations in the Open Market.
- Cofdar commits to verifying the identity of suppliers and buyers and their legal eligibility.
- Cofdar commits to protecting users’ personal and commercial data.
11.2. Supplier Responsibility:
- The supplier bears full responsibility for the quality of coffee offered in the Open Market.
- The supplier commits to providing accurate information about their coffee products.
- The supplier commits to complying with local and international laws related to coffee trade.
- The supplier bears responsibility for shipping and delivery in the Open Market.
11.3. Buyer Responsibility:
- The buyer bears responsibility for verifying coffee quality before accepting receipt.
- The buyer commits to payment according to the agreed terms.
- The buyer commits to complying with local and international laws related to coffee importation.
Article 12: Intellectual Property
12.1. Cofdar Platform Ownership:
- Cofdar owns all intellectual property rights related to the platform, its logo, and design.
- Cofdar’s logo or trade name may not be used without prior written permission.
12.2. Supplier Ownership:
- The supplier retains intellectual property rights to their trademarks and product names.
- The supplier grants Cofdar a non-exclusive license to use images of their products and descriptions for display and marketing purposes.
12.3. Published Content:
- Content published on the platform must be free from any infringement of third-party intellectual property rights.
- Cofdar reserves the right to remove any content that infringes intellectual property rights.
Article 13: Privacy Policy
13.1. Collected Data:
- Cofdar collects personal and commercial data necessary to provide the service.
- Data includes: name, address, email, phone number, commercial registration, and banking information.
13.2. Data Usage:
- Data is used to facilitate commercial transactions and improve the service.
- Data may be used to send notifications and marketing offers related to coffee trade.
13.3. Data Protection:
- Cofdar commits to taking necessary technical and organizational measures to protect data.
- Cofdar does not share data with third parties except with user consent or as required by law.
Article 14: Dispute Resolution
14.1. Dispute Resolution Mechanism:
- Disputes are resolved amicably in the first instance through the Cofdar support team.
- If an amicable resolution is not possible, the aggrieved party may resort to the competent judicial authorities.
14.2. Applicable Law:
- This agreement is subject to and interpreted in accordance with the laws in force in the Kingdom of Saudi Arabia.
- The courts of the Kingdom of Saudi Arabia have jurisdiction over any dispute arising from this agreement.
Article 15: Termination of the Agreement
15.1. Termination by the User:
- The user can terminate this agreement at any time by closing their account.
- Termination of the agreement does not result in the refund of any previous fees or payments.
15.2. Termination by Cofdar:
- Cofdar has the right to terminate this agreement if the user violates any of its terms.
- Cofdar has the right to suspend or close any account suspected of being used for fraudulent purposes.
15.3. Effects of Termination:
- All ongoing transactions are settled before terminating the agreement.
- The user’s personal data is deleted in accordance with the privacy policy.
Article 16: General Provisions
16.1. Amendments:
- Cofdar reserves the right to amend this agreement at any time.
- Users are notified of any substantial amendments before they take effect.
- Continued use of the platform after amendments is considered implicit acceptance of them.
16.2. Communications:
- All official communications are made via the email registered in the account.
- Email is considered a legal and approved means of communication between parties.
16.3. Force Majeure:
- Cofdar is not responsible for any delay or failure in performance resulting from circumstances beyond its control.
