COFDAR.COM — Last Updated: September 2026
Introduction

Welcome to Cofdar, available through cofdar.com. Cofdar is owned and operated by Madar Al-Tahawul Establishment, registered with the Ministry of Commerce in the Kingdom of Saudi Arabia under Commercial Registration No. 7051238280.

These Terms and Conditions govern the relationship between Cofdar and its users, including buyers, suppliers, visitors, and any party using or benefiting from the platform or its services. Use of the platform, creation of an account, submission of an order, completion of a purchase, payment of any amount, or use of any Cofdar service constitutes express and binding acceptance of these Terms and any related policies, invoices, product pages, or special terms.

Cofdar provides its services through different business models, including without limitation:

Cofdar Direct: an international green coffee sourcing service for businesses in the Kingdom of Saudi Arabia through recurring supply batches that may operate on a pre-order or direct-sale basis, including coordination of sourcing, shipping, customs clearance, and delivery in Saudi Arabia as stated on the product page, invoice, and order confirmation.

Open Marketplace: a digital space that enables approved suppliers to offer products or services to buyers, with execution responsibilities determined according to the nature and terms of each offer and these Terms.

Cofdar also operates as a digital business platform designed to facilitate discovery, listings, communication, requests, business opportunities, and commercial relationships between businesses. Depending on account type, the platform may provide stores, listings, leads, chat, favourites, search alerts, orders, payments, documents, privacy settings, and other tools or services introduced by Cofdar.

Article 1: Definitions

For the purposes of these Terms, the following words and expressions shall have the meanings set out below unless the context requires otherwise:

Order Confirmation: a written or electronic notice issued by Cofdar accepting an Order after receipt of payment or completion of the required payment procedures.

Pre-Order: reservation of a product or quantity within an announced batch or shipment before the booking period closes and final execution begins.

Batch / Shipment: a single supply or execution operation that may include one or more products and may have a booking period, closing date, execution window, or estimated delivery date.

Batch Information: all information displayed on the product page, batch page, invoice, or Order Confirmation, including origin, farm or source, processing method, weight, packaging, price, booking period, closing date, estimated delivery, batch status, and other specifications.

Specifications: technical, commercial, or descriptive product information appearing on the product page, invoice, or Order Confirmation.

Force Majeure: any circumstance beyond the reasonable control of the affected party that delays, disrupts, or prevents performance in whole or in part.

Article 2: Scope and Order of Priority

These Terms apply to all Cofdar services, including Cofdar Direct, the Open Marketplace, pre-order services, direct sales, accounts, payments, notifications, and any current or future services provided by the platform.

Where there is a conflict between documents, pages, or terms, the following order of priority applies:

  1. The invoice and Order Confirmation.
  2. The product page or Batch Information.
  3. Special terms applicable to the service or product.
  4. These general Terms and Conditions.

Product pages, invoices, Order Confirmations, emails, platform notifications, and operational messages issued by Cofdar form part of these Terms where they relate to the relevant order or service.

Article 3: Electronic Acceptance and Binding Effect

Using the platform, creating an account, clicking a purchase, reservation, or payment button, transferring any amount to Cofdar, or continuing to use Cofdar services constitutes express acceptance of these Terms.

The User acknowledges that electronic acceptance, order records, invoices, emails, platform notifications, and electronic communications may be relied upon as evidence in the relationship between the parties.

If the User represents a company, establishment, or organization, the User represents that they are duly authorized to accept these Terms and enter into transactions on its behalf, and the organization shall be bound by activities carried out through its account or credentials.

Article 4: Registration and Accounts

Cofdar may require creation of an account in order to use certain services.

The User must provide accurate, complete, and current information, including name, email address, mobile number, organization name, commercial registration, tax number where applicable, national address, delivery address, and any information or documents requested by Cofdar for verification, compliance, invoicing, or delivery purposes.

Cofdar may request additional verification documents at any time, including commercial registration documents, authorizations, licences, tax information, bank account details, or other relevant documents.

The User is fully responsible for maintaining the confidentiality of account credentials, and activity conducted through the account shall be considered attributable to the User unless conclusively proven otherwise.

Cofdar may suspend, restrict, or terminate an account where information is inaccurate, fraud is suspected, the platform is misused, these Terms are breached, or regulatory requirements are violated.

Article 5: Nature of Cofdar Services

Cofdar provides services through different models, including:

  1. Cofdar Direct: a supply service managed by Cofdar for buyers in Saudi Arabia.
  2. Open Marketplace: a marketplace for approved or registered suppliers to display and sell products or services.
  3. Future Services: including private sourcing requests, logistics, samples, inspection, and other services Cofdar may introduce.

Depending on the User type and available service, account features may include management of listings and stores, leads, chat, favourites, search alerts, orders, payments, payouts, account information, documents, downloads, privacy settings, and other tools associated with use of the platform.

The User acknowledges that obligations vary according to the service. Under Cofdar Direct, Cofdar is responsible for the scope of execution stated in the relevant Order and invoice. In the Open Marketplace, the Supplier may be directly responsible for the product, shipping, or execution depending on the nature and terms of the offer.

Section One: Cofdar Direct
Article 6: Nature of Cofdar Direct

Cofdar Direct is an international green coffee sourcing service for businesses in Saudi Arabia, enabling roasters, traders, and businesses to purchase or reserve green coffee through recurring supply batches that may originate from selected farms, origins, or suppliers around the world.

Some Cofdar Direct products may be available for direct sale, while others may operate through pre-orders or scheduled batches as stated on the relevant product or batch page.

The Buyer acknowledges that Cofdar Direct does not in all cases constitute an immediate sale from available inventory. It may constitute an organized sourcing service involving the origin, farm, supplier, documents, international freight, customs clearance, regulatory release, and local delivery.

Article 7: Pre-Orders, Booking Periods, and Closing

Cofdar may offer specific batches for booking during an announced period, with each batch having a closing date, quantity limit, or specific operational conditions.

Cofdar may close bookings before the announced date where:

  1. The available quantity has been fully booked.
  2. Operational or logistical considerations require closure.
  3. Compliance, clearance, or documentation requirements arise.
  4. Supplier or origin circumstances change.
  5. Any commercial or operational reason makes closure necessary to protect the batch or customers.

Cofdar may extend the booking period, amend the batch status, or reschedule a batch where operational or supply circumstances require it.

Article 8: Formation of a Cofdar Direct Contract

Display of a product or batch on the platform does not constitute a final binding offer by Cofdar and is an invitation to purchase or reserve.

An Order becomes binding when all of the following have occurred:

  1. The Buyer submits an Order through the platform or another approved method.
  2. The Buyer pays the full amount due unless the invoice states otherwise.
  3. Cofdar actually receives the funds in its account or through the approved payment method.
  4. Cofdar issues an Order Confirmation.

Supply execution, quantity allocation, placement within a batch, or operational commitments toward suppliers or carriers do not begin until payment is complete and the Order Confirmation is issued.

Article 9: Advance Payment

As a general rule, Cofdar Direct Orders are payable in full in advance unless Cofdar expressly provides another option on the product page or invoice.

If Cofdar later provides deposits, partial payments, or staged payments, special terms may apply and shall form part of these Terms.

The Buyer bears bank transfer fees, payment gateway fees, intermediary bank charges, currency differences, and collection or transfer fees unless the invoice provides otherwise.

A Buyer payment is not considered complete until the funds appear in Cofdar's account or are confirmed by the approved payment provider.

Article 10: Non-Refundability After Transfer and Order Confirmation

Once payment has been transferred to Cofdar or paid through the approved payment method and the Order Confirmation has been issued, the amount paid becomes final and non-refundable and the Order may not be cancelled, withdrawn, reversed, or charged back.

The Buyer acknowledges that this policy reflects operational, commercial, and logistical commitments entered into by Cofdar on the basis of the Order, including:

  1. Allocating quantities to the Buyer.
  2. Including the Order in the relevant batch or shipment.
  3. Coordination with the supplier, source, or farm.
  4. Scheduling freight, transport, and customs clearance.
  5. Processing documents and data.
  6. Reserving operational or logistical resources.
  7. Incurring non-refundable costs or commitments toward third parties.

The Buyer may not claim a refund after transfer and Order Confirmation due to a change of mind, changed requirements, unwillingness to wait, market price reductions, availability of alternatives, inability to receive the goods, incorrect estimation of needs, or any other reason attributable to the Buyer.

As an exception, amounts may be refunded only where:

  1. Cofdar cancels the Order or batch and does not provide an appropriate alternative accepted by the Buyer.
  2. A material non-conformity between the delivered product and the contractual specifications is established and replacement or remediation is not possible.
  3. Performance becomes permanently impossible due solely to Cofdar and the circumstances do not fall within Force Majeure or supplier, freight, or regulatory circumstances.
  4. Mandatory Saudi law requires a specific refund.

In all permitted refund cases, Cofdar may deduct actual costs incurred, including payment fees, transfer fees, sourcing costs, documentation, freight, storage, customs clearance, and other non-refundable commitments.

Article 11: Cancellation or Modification by the Buyer

The Buyer may not cancel an Order, amend quantities, change products, change the delivery address, or request deferred delivery after the Order Confirmation has been issued except with Cofdar's express written approval.

Where Cofdar approves a modification, Cofdar may require payment of price differences, additional costs, or operational, logistical, or administrative charges resulting from the modification.

Submission, receipt, or discussion of a modification request does not constitute approval. A modification becomes effective only when expressly confirmed in writing by Cofdar.

Article 12: Specifications, Quality, and the Nature of Green Coffee

Product specifications are those appearing on the product page, invoice, and Order Confirmation and may include origin, region, farm or source, processing method, weight, packaging, grade, crop year, intended use, and other information.

The Buyer acknowledges that green coffee is a natural agricultural product and may show reasonable variations in colour, size, shape, density, moisture, aroma, or general appearance. Such variations do not constitute defects where they are within accepted commercial limits or the stated specifications.

Flavour descriptions, sensory notes, images, marketing descriptions, or use assessments do not guarantee a particular roasting, extraction, or sensory result and are descriptive or marketing information unless the invoice or Order Confirmation expressly identifies them as binding contractual specifications.

The Buyer is responsible for testing, handling, storing, and roasting the Product in accordance with its nature. Cofdar is not responsible for results arising from improper storage, roasting, blending, or use.

Article 13: Prices, Taxes, and Charges

The applicable price is the price displayed on the product page when the Order is placed or the price stated on the invoice, whichever Cofdar confirms.

Prices may be inclusive or exclusive of taxes or charges as stated on the product page or invoice.

VAT and any governmental, customs, regulatory, or service charges shall be added where applicable unless the invoice expressly states that they are included.

Additional charges arising from the Buyer's error, delay, or special request, including address changes, redelivery, storage, rescheduling, or missing information, shall be borne by the Buyer.

Article 14: Timelines and Delivery Windows

The Buyer acknowledges that international sourcing, shipping, arrival, customs clearance, regulatory release, and delivery dates are estimates and not guaranteed dates unless expressly stated otherwise in the invoice or Order Confirmation.

Cofdar shall use reasonable commercial care to manage execution according to the expected schedule, but international supply may be affected by circumstances outside Cofdar's control, including supplier delays, carrier schedule changes, port or airport congestion, customs procedures, regulatory requirements, delayed documents, or operational and logistical circumstances.

Cofdar may extend performance where operational, logistical, regulatory, compliance, or Force Majeure circumstances arise, provided that the total performance period does not exceed 285 days from the booking closing date or Order Confirmation date for non-booking products unless the parties agree otherwise in writing or a legal or Force Majeure circumstance justifies otherwise.

General indicators displayed on the platform, including progress percentages, order status, or expected dates, are indicative only. The invoice, Order Confirmation, and these Terms govern.

Article 15: Shipping, Customs Clearance, and Delivery in Saudi Arabia

Cofdar coordinates sourcing, shipping, customs clearance, and delivery within Saudi Arabia as specified on the product page, invoice, or Order Confirmation.

The Buyer must provide an accurate and accessible delivery address and ensure an authorized recipient is available at delivery.

If delivery fails due to the Buyer, including failure to respond, unavailability of a recipient, incorrect address, unjustified refusal to receive, or a request to change delivery after delivery procedures have begun, Cofdar may charge storage, redelivery, rescheduling, or other actual costs.

Goods shall be deemed delivered where Cofdar notifies the Buyer that they are ready for delivery and the Buyer delays or refuses receipt without legitimate reason. From such notification, storage risk, damage risk, delay, and additional costs resulting from non-collection pass to the Buyer.

Article 16: Buyer Information and Responsibility

The Buyer must provide accurate, complete, and current information, including trade name, commercial registration, tax number where applicable, national address, delivery address, recipient information, mobile number, email address, and any information or documents required by Cofdar for invoicing, customs clearance, delivery, or compliance.

The Buyer is solely responsible for delays, fees, penalties, costs, or failed delivery caused by inaccurate, incomplete, or delayed information or documents.

Cofdar may suspend execution or delivery where the Buyer fails to provide required information or documents within the specified period without this constituting a breach by Cofdar.

Article 17: Inspection and Claims

The Buyer must inspect the Product immediately upon receipt.

Claims concerning visible shortages, damaged packaging, weight discrepancies, or clear differences from Order Information must be submitted within three business days of receipt and must include photographs, documents, Order number, and supporting evidence.

Non-visible technical or conformity claims must be submitted within seven business days of receipt. The Product must remain in its original condition and must not be opened, blended, used, or repackaged before inspection.

If the Buyer opens, uses, blends, repackages, improperly stores the Product, or submits a claim after the stated period, the right to replacement, compensation, or other remedy is lost unless a material latent defect not caused by the Buyer's acts or storage is established.

Claims based only on taste differences, roasting results, extraction method, or flavour expectations are not accepted unless an objective breach of contractual specifications is demonstrated.

Article 18: Remedies for Established Non-Conformity

If Cofdar establishes a material non-conformity between the delivered Product and the agreed contractual specifications, Cofdar may, according to its professional assessment and the circumstances:

  1. Replace the Product or affected portion.
  2. Provide an equivalent or higher alternative Product.
  3. Provide proportionate partial compensation.
  4. Refund only the value of the non-conforming portion after return of the Product or after Cofdar is enabled to inspect it.

The Buyer may not claim indirect damages, loss of profit, operational interruption, consequential damages, loss of customers, or loss of opportunity arising from non-conformity.

Article 19: Samples

Cofdar may provide samples for certain products or batches depending on availability and the policy applicable to the relevant batch.

A sample does not guarantee identical characteristics in the final shipment due to the agricultural nature of coffee, but may provide a general indication of the Product, lot, or profile unless Cofdar expressly states otherwise.

Cofdar is not required to provide samples for all products or batches.

Section Two: Open Marketplace
Article 20: Nature of the Open Marketplace

The Cofdar Open Marketplace is a digital space enabling Suppliers to offer products or services to Buyers subject to Cofdar's applicable terms.

Cofdar's role in the Open Marketplace may be limited to providing the digital environment, displaying products, facilitating communication, organizing Orders, or facilitating payment, while the Supplier remains responsible for the Product, shipping, or execution unless Cofdar expressly states otherwise.

Article 21: Supplier Obligations in the Open Marketplace

The Supplier must:

  1. Provide accurate and truthful Product information.
  2. Provide images and specifications that fairly represent the Product.
  3. Honor displayed prices, quantities, and terms.
  4. Ship or deliver the Order within the specified period.
  5. Comply with applicable Saudi laws and regulations.
  6. Not offer prohibited, fraudulent, adulterated, or unauthorized products.
  7. Respond to Cofdar or Buyer inquiries within a reasonable period.
  8. Accept responsibility for breaches or claims resulting from the Product, its description, delays, or non-performance.

Cofdar may remove products, suspend a Supplier account, or temporarily withhold amounts due where there is a dispute, suspected breach, or non-conformity report.

Article 22: Buyer Obligations in the Open Marketplace

The Buyer must pay applicable Product prices and fees, provide accurate information, inspect Orders on delivery, and report issues within the period specified by the platform's policies.

The Buyer may not misuse dispute mechanisms, request refunds without legitimate grounds, or submit malicious or false reports.

Article 23: Shipping in the Open Marketplace

As a general rule, the Supplier is responsible for shipping and delivering its Products in the Open Marketplace unless Cofdar provides a specific shipping service or the parties agree otherwise.

If Cofdar provides a shipping option, its charges and conditions shall apply as displayed in the Order.

Cofdar is not responsible for Supplier or carrier delays except to the extent Cofdar has expressly undertaken responsibility for shipping or delivery.

Article 24: Commissions and Fees

Cofdar may charge commissions or fees to Suppliers, Buyers, or certain services as announced on the platform or in special agreements.

Cofdar may charge a commission on transactions completed through the Open Marketplace according to the percentage or fee communicated to the Supplier.

Cofdar may amend commissions or fees in the future. Amendments apply to subsequent Orders after publication or notification unless otherwise agreed.

Article 25: Supplier Settlements

Supplier amounts due shall be transferred according to Cofdar's applicable settlement mechanism after deduction of commissions, fees, suspended amounts, or disputed amounts.

Cofdar may suspend settlement where there is a dispute, non-conformity report, suspected fraud, regulatory breach, Buyer claim, or competent authority request.

Cofdar is not responsible for settlement delays caused by banks, payment gateways, incomplete Supplier information, or verification and compliance requirements.

Section Three: General Order, Payment, and Refund Terms
Article 26: Payment Methods

Cofdar accepts payment methods displayed on the platform, invoice, or payment instructions, which may include bank transfer, electronic payment, or other Cofdar-approved methods.

Payment must be made from a lawful account or payment method owned by or authorized for use by the Buyer.

Cofdar may reject or suspend an Order where fraud is suspected, a transaction appears unauthorized, payer information differs, or additional verification is required.

Article 27: General Refund Policy

Refund conditions vary depending on the Product and service.

For Cofdar Direct, the non-refund rules following transfer and Order Confirmation under Article 10 apply.

For the Open Marketplace, the Product or Supplier refund policy applies provided it does not conflict with these Terms or applicable laws.

Cofdar does not accept returns of food products once original packaging has been opened or where damage results from improper storage, use, repackaging, blending, or late reporting, unless a material defect existing before delivery is established.

Article 28: Pricing or Technical Errors

If an obvious error appears in price, description, quantity, availability, or Product Information due to a technical, human, or system error, Cofdar may cancel or correct the Order or contact the Buyer to confirm the correct price or information.

An obvious error does not create an obligation on Cofdar to perform the Order using the incorrect price or information.

Section Four: Force Majeure and Circumstances Outside Control
Article 29: Force Majeure

Cofdar is not responsible for delay, non-performance, or partial performance resulting from Force Majeure or circumstances outside reasonable control.

Force Majeure and circumstances outside control include, without limitation:

  1. Natural disasters.
  2. Rain, floods, and flash floods.
  3. Fires.
  4. War, unrest, or hostilities.
  5. Strikes or labour disruption.
  6. Epidemics or health restrictions.
  7. Governmental or regulatory decisions.
  8. Customs, tax, import, or export restrictions.
  9. Delayed or refused clearance or release.
  10. Port, airport, or border disruptions.
  11. Shipping disruption, container shortages, or cancelled services.
  12. Supplier, source, or farm delays.
  13. Damage to or unavailability of a lot at source.
  14. Failure or delay in issuance of documents.
  15. Banking restrictions or international transfer restrictions.
  16. Technical failures or interruption of essential services.
  17. Any event Cofdar cannot reasonably prevent or overcome using reasonable commercial care.
Article 30: Effect of Force Majeure

Where Force Majeure or circumstances outside control occur, Cofdar may:

  1. Extend the performance or delivery period.
  2. Reschedule the shipment.
  3. Deliver the Order in installments.
  4. Provide an equivalent or higher alternative Product or lot where available.
  5. Terminate only the portion that cannot be performed.
  6. Refund only the value of the portion that cannot be performed where no suitable alternative exists, without additional compensation.

The following do not constitute Force Majeure for the Buyer: change of mind, changed needs, lack of liquidity, inability to pay, absence of a recipient, warehouse unavailability, or market price reductions after purchase.

Section Five: Compliance and Laws
Article 31: Regulatory Compliance

Users must comply with all applicable laws, regulations, and instructions in Saudi Arabia, including commercial, tax, customs, food, data protection, anti-fraud, anti-money laundering, anti-bribery, and anti-corruption requirements.

Cofdar may reject or suspend an Order or account where a regulatory violation, compliance concern, or conflict with competent authority requirements is identified.

Article 32: Food Products

The User acknowledges that food products, including coffee, may be subject to specific regulatory requirements concerning registration, clearance, storage, transport, labeling, or sale.

A Supplier may not offer food products that are unlawful, non-compliant, or unauthorized for circulation.

The Supplier is fully responsible for Products offered through the Open Marketplace, including information accuracy, Product safety, and regulatory compliance.

Article 33: Prohibited Use

Users may not:

  1. Use the platform for unlawful purposes.
  2. Provide misleading or falsified information.
  3. Impersonate another person.
  4. Attempt to circumvent payment or commission systems.
  5. Misuse dispute or reporting mechanisms.
  6. Upload unlawful, abusive, or third-party infringing content.
  7. Attempt to hack, disable, disrupt, or extract platform data using unauthorized methods.
  8. Communicate outside the platform for the purpose of bypassing Cofdar in transactions originating through Cofdar where this violates Cofdar policies.
Section Six: Liability and Limitations
Article 34: Limitation of Cofdar's Liability

Cofdar is not liable for indirect, consequential, or special damages, including lost profits, interruption of business, loss of customers, loss of opportunity, reputational damage, or damages resulting from operational or commercial decisions made by the User.

In all cases, Cofdar's maximum liability, where established, shall be limited to the value of the Product or Order giving rise to the dispute and shall not include other products, incidental costs, operational losses, or indirect claims.

The Buyer may not unilaterally deduct amounts, suspend payments, or set off sums because of a claim or objection except with Cofdar's written approval or pursuant to a final enforceable judgment.

Article 35: Supplier Liability

The Supplier is fully responsible for Products offered through the Open Marketplace, including quality, safety, conformity, ownership, sourcing, shipping, labeling, claims, and violations arising from the Product or its information.

The Supplier undertakes to indemnify Cofdar against losses, claims, penalties, damages, or expenses arising from the Supplier's breach of these Terms, applicable laws, or third-party rights.

Article 36: Buyer Responsibility

The Buyer is responsible for the purchase decision, understanding the nature of the Product, assessing requirements, providing accurate information, receiving the Product, storing it, and using it appropriately.

The Buyer is also responsible for damages or costs arising from the Buyer's error, delay, breach, or misuse of the platform.

Section Seven: Intellectual Property and Content
Article 37: Cofdar Rights

All intellectual property rights relating to Cofdar, including its name, logo, identity, design, text, images, databases, software, interfaces, and content, are owned by or licensed to Cofdar.

No part of the platform may be copied, used, republished, or exploited without Cofdar's prior written approval.

Article 38: Supplier and User Content

The Supplier or User grants Cofdar a non-exclusive licence to use images, information, and data provided to the platform for display, operation, sale, provision of services, and customer support according to the nature of the content and service.

The Supplier or User represents that submitted content does not infringe third-party rights and accepts full responsibility for such content.

Where a User publishes a store, listing, public profile, or other content intended for display on the platform, the User acknowledges that information selected for publication may be accessible to platform users or the public depending on the nature of the content and the privacy settings selected by the User.

Section Eight: Privacy and Data Protection
Article 39: Collection and Use of Data

Cofdar collects information necessary to operate the platform, provide services, and manage the relationship with Users, including account creation, verification, profile, store and listing management, processing Orders and payments, management of leads, chat, search alerts and favourites, execution of sales and supply operations, invoicing, shipping and delivery, customer support, platform security, regulatory compliance, and service development.

Account and contact information may also be used to send communications relating to use of the platform, including account and service updates, listing and store status, Orders, search alerts, leads, messages, business opportunities and requests relevant to the User's activity, new services or features, subscription or upgrade information, and policy or operational updates.

Cofdar handles personal data in accordance with the Privacy Policy published on the platform, which forms an integral part of these Terms.

Article 40: Data Sharing, Visibility, and Privacy Settings

Cofdar may share information to the extent necessary with service providers, shipping companies, payment gateways, advisers, governmental or regulatory authorities, or other parties necessary to provide services or comply with applicable laws.

Cofdar does not sell Users' personal data to third parties.

The platform may contain information that a User chooses to display in a profile, store, listing, or contact information. Depending on available account features, Cofdar enables Users to control the visibility of certain information through the Privacy Settings section.

Privacy Settings may include controls for displaying the User's name, email address, phone number, and WhatsApp information to everyone, registered Users only, or hiding such information, depending on available platform options.

The User is responsible for choosing the appropriate visibility level and acknowledges that information intentionally made visible may be viewed or used for contact by platform Users or visitors in accordance with the selected privacy level.

Hiding contact information from public display does not prevent Cofdar from processing or using such information internally where necessary for account operation, service delivery, communication with the User, legal compliance, or recordkeeping.

Article 41: Platform and Service Communications

The User acknowledges that communication between businesses and Users, and the delivery of notifications, requests, opportunities, and updates, are integral parts of Cofdar and its services.

By creating an account, using the platform, and accepting these Terms, the User agrees to receive communications connected with the account and use of Cofdar services, including:

  1. Account creation, management, security, and verification notices.
  2. Notifications relating to listings and stores, including updates, status changes, and expiry.
  3. Orders, sales, payments, settlements, and invoices.
  4. Leads, messages, chat, and communications generated by the User's activity on the platform.
  5. Search alerts, favourites, and notifications enabled or requested by the User.
  6. Sourcing requests, business opportunities, and relevant matches based on the User's activity, account type, or interests within the platform.
  7. Launches or updates of Cofdar services, features, and tools.
  8. Subscription, plan, upgrade, or service-delivery information.
  9. Operational, security, regulatory, policy, or Terms updates.

Failure to read communications or monitor the email address or contact channels registered with Cofdar does not excuse the User from notices relating to the account or services where such notices have been sent to the registered information.

Where Cofdar sends separate advertising material or promotional offers that are not directly connected to the User's account or use of the service, Cofdar will handle such communications in accordance with applicable regulatory requirements and will provide a mechanism to stop receiving them where required.

Section Nine: Notices and Communications
Article 42: Approved Communication Methods

Notices sent to the registered email address, by mobile message, business WhatsApp, platform notification, account dashboard, internal chat, or any other communication method adopted by Cofdar shall be considered valid notices and may produce their intended effect.

The User must keep contact information current and bears responsibility for consequences arising from failure to read messages or update the email address, mobile number, or account information.

Privacy settings that hide an email address, phone number, or WhatsApp information from public display do not affect Cofdar's right to use registered contact information for account administration, service provision, or platform-related notices.

Article 43: Contact Information

Cofdar may be contacted through:

Email: info@cofdar.com
Website: www.cofdar.com
Address: Riyadh, Kingdom of Saudi Arabia

Cofdar may update its contact information from time to time through the platform.

Section Ten: Suspension and Termination
Article 44: Suspension of Accounts or Orders

Cofdar may suspend or terminate an account, Order, or service in the following cases:

  1. Breach of these Terms.
  2. Provision of inaccurate information.
  3. Suspected fraud or misuse.
  4. Violation of applicable laws.
  5. Failure to pay amounts due.
  6. Failure to provide required documents.
  7. Damage to the platform, Users, or Cofdar's reputation.
  8. A material dispute or claim.
  9. Any legitimate reason Cofdar considers necessary to protect its rights or the rights of Users.
Article 45: Effect of Termination

Suspension or termination of an account does not affect prior obligations, existing Orders, amounts due, or rights arising before termination.

Provisions relating to payment, non-refundability, liability, confidentiality, intellectual property, disputes, and indemnity survive termination.

Section Eleven: Amendments
Article 46: Right to Amend

Cofdar reserves the right to amend these Terms and Conditions at any time. Amendments become effective when published on the platform or on another date specified by Cofdar.

Continued use of the platform after publication of an amendment constitutes acceptance of the amended Terms.

Orders confirmed before an amendment remain subject to the Terms in force when confirmed unless the amendment relates to a mandatory regulatory requirement.

Section Twelve: Governing Law and Jurisdiction
Article 47: Governing Law

These Terms are governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

Article 48: Dispute Resolution

The parties shall first attempt to resolve disputes amicably within a period not exceeding 15 days from the date one party notifies the other of the dispute.

If amicable settlement is unsuccessful, the competent commercial courts in Riyadh shall have jurisdiction unless Cofdar and the other party agree in writing to arbitration or another alternative dispute resolution mechanism.

Depending on the nature of the relationship or value of the contract, Cofdar may include a specific arbitration clause in an invoice, agreement, or separate addendum.

Article 49: Final Provisions

If any provision of these Terms is found to be invalid or unenforceable, the validity of the remaining provisions shall not be affected, and the invalid provision shall be replaced with a provision that most closely achieves its commercial and legal purpose.

Failure by Cofdar to exercise any right does not constitute a waiver of that right.

The User may not assign rights or obligations under these Terms without Cofdar's written approval.
